Terms of Service
Effective: 26 April 2026
These Terms of Service (“Terms”) govern your use of the ScanToDrive web application (“Service”), provided by Ada Commerce GmbH, Neusser Straße 150, 41363 Jüchen, Germany (“we”, “us”). By signing in with Google and using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ScanToDrive is a productivity tool that lets you photograph products, business cards, or price tags during trade shows. Optional AI extraction reads the photo and writes structured data into a Google Sheet you own; the photo itself is uploaded to a folder we create in your Google Drive. The Service is offered “as is” on a best-effort basis.
2. Eligibility and account
- You must be at least 16 years old (or the minimum age in your jurisdiction) and have the legal capacity to enter into a binding contract.
- The Service is intended for business use, including trade-show sourcing, B2B lead capture, and similar professional contexts.
- You sign in with your Google account. You are responsible for keeping that account secure. We do not store your Google password.
- You may use the Service on behalf of your company. In that case, you confirm that you are authorised to bind your company to these Terms.
3. Your data and Google account
Photos and the data the AI extracts are written to your own Google Drive and Google Sheets. You own that data. We claim no rights over it. Revoke our access at any time at myaccount.google.com/permissions — the Service will stop working but your data stays where it is.
How we process personal data is described in our Privacy Policy, which forms an integral part of these Terms.
4. Third-party services and your API keys
AI extraction (Google Gemini) and the optional 1688/Taobao market lookup (Elimapi) require API keys that you provide in Settings. Calls are billed against your quotas, not ours. We are not a party to your contract with those providers and we are not responsible for outages, pricing changes, or quota limits on their side.
5. Acceptable use
You agree not to:
- Use the Service to violate any law (including IP, privacy, unfair-competition, or export-control law) or the terms of any linked service (Google, Elimapi, etc.).
- Upload photos for which you do not hold the necessary rights or consents (e.g. third-party copyrighted designs without permission, or close-up portraits without the depicted person’s consent).
- Reverse-engineer, decompile, or attempt to extract the source code of the Service except to the extent permitted by mandatory law.
- Probe, scan, or test the vulnerability of the Service or attempt to bypass authentication, rate limits, or quotas.
- Use the Service to send spam, malware, or to harvest contact data on a scale or in a manner that would breach GDPR or anti-spam law.
- Submit content that is illegal, defamatory, sexually explicit, or that violates third-party rights.
We may suspend or terminate access if you breach these restrictions, without refund.
6. Pricing and billing
ScanToDrive itself is currently provided free of charge. The AI and market-lookup features cost money on the API-provider side (Google Gemini, Elimapi). You see live cost in Settings → “Usage & cost”. We do not bill you for those — they are billed directly by Google or Elimapi against your keys.
We reserve the right to introduce paid plans for the Service itself in the future. Such changes will be announced in advance and will not apply retroactively to data you have already captured.
7. Availability and changes
We aim for high availability but do not guarantee uninterrupted operation. Maintenance, bugs, or upstream provider outages (Google, Elimapi, your hosting) may cause downtime. We may modify, add, or remove features at our discretion; material changes will be communicated in-app or by email.
8. Intellectual property
The Service, its source code, design, brand, and documentation are owned by Ada Commerce GmbH or our licensors and are protected by copyright, trade-mark, and other laws. We grant you a non-exclusive, non-transferable, revocable licence to use the Service for the purpose described in these Terms. Nothing in these Terms transfers ownership.
9. Disclaimer
The Service, including AI extraction, is provided “as is” and “as available”. AI output may be inaccurate, incomplete, or wrong — you must review every row before relying on it for business decisions, contracts, or purchasing. We make no warranty that the Service will be error-free, secure, or fit for any particular purpose, except as required by mandatory law (e.g. § 327 ff. BGB for consumers).
10. Limitation of liability
To the extent permitted by law, our liability is limited as follows:
- We are liable without limitation for damages caused intentionally or by gross negligence, for damages arising from injury to life, body, or health, and under the German Product Liability Act (Produkthaftungsgesetz).
- For damages caused by simple negligence, we are only liable if a material contractual obligation (cardinal duty — wesentliche Vertragspflicht) is breached, and only up to the amount of typical, foreseeable damage.
- Any further liability for simple negligence is excluded.
These limitations also apply in favour of our employees, agents, and subcontractors.
11. Termination
You may stop using the Service and revoke access at any time via your Google account settings. We may terminate or suspend your access at any time for breach of these Terms or for legal reasons. Termination does not affect data already written to your own Google Drive or Sheet.
12. Changes to these Terms
We may update these Terms when the Service evolves or when legal requirements change. Material changes will be communicated in-app or by email at least 14 days before they take effect. If you continue to use the Service after the effective date, you accept the revised Terms. If you do not agree, please stop using the Service before that date.
13. Governing law and venue
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection laws of the country in which you have your habitual residence remain unaffected. Exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms — to the extent permitted by law — is Neuss, Germany (registered seat of Ada Commerce GmbH, HRB 22355).
14. Severability
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic intent of the original.
